What You Will be Doing

• Leading M&A transactions, from structuring and negotiating the LOI through due diligence and closing, including negotiating and drafting the definitive purchase agreement, disclosure schedules, and all ancillary documents.

• Providing general counsel and legal advice, including formation and organization matters, governance matters, and developing legal, business and exit strategies to appropriately fit the client’s strategic goals.

• Reviewing, structuring, negotiating, and drafting a wide range of routine and complex commercial, corporate, intellectual property and real property agreements and transactions.

Ideal Candidate Profile

• 5+ years’ experience in commercial and corporate transactions, including M&A.

• Skilled in drafting and negotiating agreements for M&A, commercial contracts, IP, real estate, and corporate matters.

• Detail-oriented, organized, and able to prioritize effectively under deadlines.

• Strong interpersonal, communication, and strategic thinking skills.

• High ethical standards, with the ability to work both independently and as a team player.

• Self-motivated, proactive, and willing to support team members as needed.

• Comfortable communicating with clients and counsel.

Required Education

• Juris Doctor Degree from an accredited institution

• Licensed to practice law and in good standing
